Party B proposes to acquire substantially all the assets of Party A, an existing dental service organization. After Closing, Party B will enter into new management agreements with the dental practices that Party A previously provided services to. The management agreements will provide that Party B performs certain non-clinical management services, allowing the dental professionals to focus on patient care while improving practice efficiency and access to shared resources. In connection with this transaction, Party A may redeem the interests of Hou and/or Trujillo prior to or in connection with the closing with Party B. The redemption from Hou may include the transfer of assets related to one or two practice locations by Party A to Hou.
