| WA | Spokane Urology, PLLC (the “Practice”) is a medical practice providing professional urology services to Washington patients at the locations listed below. As part of a broader corporate reorganization, Party B will convert to a professional corporation and change its name from The Centers for Advanced Urology, LLP to Alliance Physician Services, PC. Party B will be owned by four individual physicians: two gastroenterologists and two urologists. On September 1, 2026, Party B will acquire the entire ownership interest in the Practice from its current owner, Party A, for a nominal amount. As a result, the Practice will become a wholly owned subsidiary of Party B. The purpose of the proposed material change is to integrate the Practice into Party B’s organizational structure as part of a broader corporate reorganization designed to strengthen the Practice’s administrative and operational infrastructure, achieve administrative efficiencies, and support the continued, uninterrupted operation of the Practice’s healthcare facilities for the benefit of its Washington patients. For the avoidance of doubt, the proposed material change will not have an impact on the day-to-day operations of the Practice, the delivery of patient care, or access to care for patients in Washington.
